Qualification
The contents of each Report shall be determined in the sole discretion of the assigned Reviewer. Neither TECHLINK nor the assigned Reviewer will bear any responsibility to the Submitter or any third party for the information contained in a Report. Submitter agrees to indemnify, defend and hold harmless TECHLINK and assigned Reviewer from and against any and all claims by third parties associated with information contained in a Report of that Reviewer.
Introduction
Each Determination shall be made in the sole discretion of the assigned Reviewer. Neither TECHLINK nor the assigned Reviewer will bear any responsibility to the Requester or any third party for the Determination nor for the content of any detailed reasons provided by the assigned Reviewer. Requester agrees to indemnify, defend and hold harmless TECHLINK and Reviewer from and against any and all claims by third parties associated with any Determination and detailed reasons provided by that Reviewer. Neither TECHLINK nor a member to which a Qualified Opportunity has been presented will bear any responsibility to the Requester or any third party for the content of meaningful feedback provided by that member. Requester agrees to indemnify, defend and hold harmless TECHLINK and member from and against any and all claims by third parties associated with any meaningful feedback provided by that member. Neither TECHLINK nor the assigned Reviewer will bear any responsibility to a Member or any third party for a Determination or for the content of any Qualified Opportunity presented to the Member. Member agrees to indemnify, defend and hold harmless TECHLINK and Reviewer from and against any and all claims by third parties associated with Determination or the content of any Qualified Opportunity presented to the Member.
Matching
A Match, if made, shall be made in the sole discretion of Techlink. TECHLINK will bear no responsibility to the Matchseeker or the Member for the Match. Neither TECHLINK nor the member will bear any responsibility to the Matchseeker or any third party or the content of meaningful feedback provided by the member. Matchseeker agrees to indemnify, defend and hold harmless, TECHLINK and Member, from and against any and all claims by third parties associated with the meaningful feedback. Neither TECHLINK nor the assigned Reviewer will bear any responsibility to a Member for a Match or for the content of any Qualified Opportunity presented to the Member. Member agrees to indemnify, defend and hold harmless TECHLINK from and against any and all claims by third parties associated with the Match or the content of any Qualified Opportunity presented to the Member.
Publication
Neither TECHLINK nor any recipient of a document published by TECHLINK will bear any responsibility to the Publisher or any third party in any way whatsoever related to the document. Publisher agrees to indemnify, defend and hold TECHLINK harmless against any and all claims by third parties associated with the information contained in the document. Neither TECHLINK nor Publisher will bear any responsibility to a recipient Member of a document published by TECHLINK. Member agrees to indemnify, defend and hold TECHLINK and Publisher harmless against any and all claims by third parties associated with the receipt of information contained in the document by that Member. TECHLINK bears no responsibility to the Publisher or any third party for any aggregated feedback delivered by TECHLINK to Publisher. Publisher agrees to indemnify, defend and hold TECHLINK harmless against any and all claims by third parties associated with such aggregated feedback.
Reviewers
Reviewer acknowledges that, by accepting an engagement from TECHLINK, Reviewer is bound by the applicable contents of this website, including but not limited to these TERMS AND CONDITIONS. The Reviewer shall have at all material times Comprehensive General Liability insurance on all elements of and activities pertaining to the TECHLINK network. Such insurance shall cover damage suffered by TECHLINK, Submitters and Requesters as a result of any act or omission on the part of Reviewer and its respective officers, agents, employees and sub-contractors in the course of or in connection with such operations, with a policy limit of at least $2000000 per occurrence.
Membership
Member shall make commercially reasonable efforts to inform TECHLINK on an ongoing basis as to the interests and capacity of the Member regarding technology development. Member agrees to name a patent agent as a reference or to allow TECHLINK to designate a patent agent as a reference for the Member. Member agrees that TECHLINK may contact the patent agent to confirm the details provided, directs the patent agent to provide all information reasonably requested by TECHLINK and agrees that patent agent shall be kept abreast of any changes made to the profile of the Member. Member shall promptly respond to requests made by TECHLINK and the patent agent reference in relation to the interests and capacity of the Member regarding technology development. Member may display the TECHLINK logo in promotional material, websites, social media pages and door and building signage. Member acknowledges that it and its representatives will receive electronic communication from TECHLINK from time to time and consents to all such communications. Member agree that logo provided by Member to TECHLINK may appear on the TECHLINK homepage. Member can terminate membership at will.
References
Each reference agrees that, by acting as reference for a Member it warrants that: (i) it has taken commercially reasonable steps to confirm the accuracy of all information provided to TECHLINK by Member from time to time in respect of which it has provided a reference; or (ii) has informed TECHLINK in respect of any inaccuracy. Each reference warrants that it has reasonable grounds to believe good character on the part of the Member(s) in respect of which it has provided a reference.
General
Time is of the essence in all transactions. Accordingly, all parties to any agreement governed by the content of this website have an obligation to carry out all required steps promptly.

TECHLINK will endeavor to publicize changes in an appropriate manner but has no responsibility to do so. Members, Reviewers, Submitters, Publishers and Matchseekers are encouraged to visit www.techlink.network regularly to maintain familiarity with the applicable rules.
